Shopday Publisher Agreement & Terms

This Publisher Agreement (“Agreement”) is entered into between Shopday, Inc. (“Shopday,” “we,” “us”) and the publisher or website owner accepting these terms (“Publisher,” “you”). By installing, displaying, or using any Shopday technology, scripts, widgets, or comparison units (collectively, the “Shopday Insert”), you agree to the terms below.

1. The Shopday Platform

Shopday provides a technology platform that enables publishers to monetize content through context-aware comparison tables and related placements based on user intent, available offers, and performance signals.

Shopday works directly with brands and advertisers. In some cases, Shopday also participates in advertiser programs that are operated through established affiliate platforms such as Impact, Awin, Rakuten, Partnerize, or similar networks. When applicable, those advertiser relationships are subject to the terms, rules, and validation processes of the underlying platform.

Shopday does not operate as the advertiser of record and does not control advertiser business decisions, program availability, or payment policies.

2. Revenue & Earnings

2.1 Revenue Eligibility

Publisher may earn revenue from valid user interactions generated through the Shopday Insert, subject to:

  • Advertiser approval
  • Traffic validation
  • Compliance with this Agreement
  • Applicable advertiser or platform policies

Reported earnings are estimates until finalized.

2.2 Payment Timing

Payments are issued on a net-30 basis after Shopday receives funds from advertisers.

For clarity:

  • Many direct advertisers pay Shopday on net-30 terms
  • Some advertisers or programs pay on longer cycles, commonly up to 90 days
  • Payment timing may vary depending on advertiser, platform, or program

Shopday actively works to collect advertiser payments as efficiently as possible.

2.3 Advertiser Adjustments or Non-Payment

Advertisers may delay, reverse, dispute, or refuse payment for reasons including (but not limited to) invalid traffic, policy violations, program shutdowns, or internal audits.

In such cases:

  • Shopday will share the advertiser’s stated reason when available
  • Shopday will make commercially reasonable efforts to resolve disputes
  • Shopday is not liable for amounts not paid by advertisers

Publisher agrees that earnings are contingent upon advertiser payment and approval.

3. Invalid Activity & Enforcement

Shopday reserves the right to review, adjust, withhold, or reverse earnings where activity is reasonably determined to be invalid or non-compliant.

This includes, without limitation:

  • Automated, non-human, or incentivized traffic
  • Click manipulation or artificial engagement
  • Misrepresentation of traffic sources
  • Violations of advertiser or platform policies

Determinations may be based on Shopday's internal systems, advertiser feedback, third-party verification, or network enforcement actions. Shopday's decision in these matters shall be final.

4. Publisher Responsibilities

Publisher agrees to:

  • Operate lawful, legitimate websites with original or properly licensed content
  • Not modify, interfere with, or manipulate the Shopday Insert
  • Not place Shopday on deceptive, misleading, or prohibited content
  • Comply with all applicable advertising, consumer protection, and disclosure laws

Publisher is responsible for any disclosures required by law or regulation.

5. Placement Control & Brand Availability

Shopday retains sole discretion over:

  • Whether and where the Shopday Insert appears
  • Which brands, offers, or destinations are displayed
  • Ranking logic and placement methodology

Advertisers may opt out of specific publishers or content types. Publishers may request brand or category exclusions, subject to Shopday approval.

Shopday does not guarantee the availability, duration, or continuity of any specific brand or program.

6. Payment Advances (Optional)

In certain cases, Shopday may offer or facilitate early payment advances through third-party financial services providers.

Key points:

  • Advances are optional and subject to eligibility
  • Advances may involve a fee or discount, disclosed in advance
  • Shopday is not a lender and does not control third-party terms
  • Advances do not override advertiser approval or validation requirements

7. Reporting

Shopday provides reporting via dashboard and/or API, including data such as page URL, sub-ID, device, country, clicks, and revenue.

All reporting is subject to adjustment based on advertiser reconciliation, fraud review, or platform corrections.

8. No Guarantees

Shopday makes no guarantees regarding:

  • Revenue levels
  • Conversion rates
  • Advertiser participation
  • Program duration or payout amounts

Performance depends on content quality, traffic characteristics, advertiser demand, and market conditions.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Shopday shall not be liable for indirect, incidental, or consequential damages
  • Shopday's total liability shall not exceed amounts paid to Publisher in the preceding 30 days

10. Termination

Either party may terminate this Agreement at any time upon written notice.

Upon termination:

  • Shopday may remove its technology from Publisher properties
  • Outstanding earnings remain subject to advertiser approval and these terms

11. Independent Relationship

Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship between the parties.

12. Governing Law

This Agreement shall be governed by the laws of the State of Delaware, without regard to conflict of law principles.

13. Acceptance

By installing or continuing to use the Shopday Insert, Publisher agrees to these terms.
